Web Site License Agreement

PLEASE CAREFULLY REVIEW THE TERMS AND CONDITIONS IN THIS LEGAL AGREEMENT BEFORE USING THE LOCAL CONTRACTJOBS WEB SITE. BY ACCESSING OR USING THE SITE, YOU ARE ACCEPTING THE TERMS AND CONDITIONS IN THIS AGREEMENT BETWEEN YOU AND LOCAL CONTRATJOBS, INC. ("LCJ" OR "WE"). IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU SHOULD NOT CLICK THE "I ACCEPT" BUTTON AND YOU SHOULD NOT ACCESS OR USE THE SITE.

Please read the "Terms of Use" file before using the Site. It contains important additional terms governing the use of and information about the Site and its related services. Use of the Site and related services is subject to the terms contained in the then current "Terms of Use" file, which LCJ may update from time to time. LCJ may amend this Agreement from time to time by placing amendments in the "Terms of Use" file. Your continued use of the Site constitutes your agreement with any such amendments.

Definitions
For purposes of this Agreement "Site" is defined as the any LCJ website (e.g., Local Contractjobs.com) and any related software and/or services. The terms "you", "your" or "user" are synonymous, and refer to someone who accesses or uses the Site.

License
You are granted a personal, limited, revocable, non-exclusive, non-transferable license to use the Site for your internal business purposes only. We reserve the right to revoke this license and your access to the Site at any time for any reason without liability.

Restrictions
You agree that you will not: (1) make any copy of the Site; (2) duplicate the Site by any other means; or (3) copy the data or user documentation accompanying the Site.

Copyright and other laws protect the Site in its entirety. The Site also contains LCJ trade secrets. Other than the limited license granted to you in the License section of this Agreement, we reserve all patent, copyright, trade secret, trade name, trademark, and other proprietary rights related to the Site. You may not decompile, disassemble, or otherwise reverse engineer the Site.

Disclaimer of Warranties

THE SITE IS PROVIDED "AS-IS" AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LCJ, ITS AFFILIATES, LICENSORS, THIRD-PARTY CONTENT OR SERVICE PROVIDERS, (COLLECTIVELY, "REPRESENTATIVES") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE AND RELATED MATERIALS, INCLUDING ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, MERCHANTABILITY, OR NON-INFRINGEMENT.

We do not warrant that the Site is secure, free from bugs, viruses, interruption, errors, or other program limitations. We may discontinue the Site at any time.

Limitation of Liability and Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LCJ AND ITS REPRESENTATIVES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITAION DAMAGES FOR LOSS OF BUSINESS, LOSS, CORRUPTION OR THEFT OF DATA, LOSS OF DATA, LOSS OF PROFITS, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF LCJ OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN NO EVENT WILL LCJ LIABLE TO YOU FOR ANY REASON UNDER ANY THEORY OF LAW IN AN AMOUNT GREATER THAN $100.

The limitations of damages or liability set forth in this Agreement are fundamental elements of the basis of the bargain between LCJ and you. You acknowledge and agree that LCJ would not be able to provide this Site without such limitations.

Miscellaneous
This Agreement sets forth LCJ's and its representatives' entire liability and your exclusive remedy with respect to the Site, and is a complete statement of the agreement between you and LCJ. Headings are included for convenience only, and shall not be considered in interpreting this Agreement. Your license under this Agreement shall terminate immediately if you breach any of the terms or conditions of the Agreement, and LCJ is entitled to enforce its rights hereunder by an action for damages or by specific performance, injunctive or other equitable relief. Upon such termination, you must immediately cease use of the Site.

This Agreement does not limit any rights that LCJ may have under trade secret, copyright, patent or other laws. The agents, employees, distributors, and dealers of LCJ are not authorized to make modifications to this Agreement, or to make any additional representations, commitments, or warranties binding on LCJ. If any provision of this Agreement is invalid or unenforceable under applicable law, then it shall be, to that extent, deemed omitted and the remaining provisions will continue in full force and effect. The validity and performance of this Agreement shall be governed by Georgia law (without reference to choice of law principles), and applicable federal law. You irrevocably consent to venue in the courts of Georgia as the sole venue for any dispute related in any manner to the Site or this Agreement.

Limitation of Liability; Indemnity
Local ContractJobs and its affiliates' services are to link its business Clients with potential IT and F/A professionals for employment. Local ContractJobs and its affiliates shall have no liability whatsoever for any aspects of any employment or other professional relationship that occurs or does not occur as a result of the use of its services, and Clients and IT and F/A professionals hereby waive any such claims. Clients and IT and F/A professionals hereby agree to indemnify Local ContractJobs, its affiliates and their respective employees, officers, agents and advisors for and against any losses or expenses (including legal expenses and attorneys fees) incurred by these indemnitees arising out of or related to Client's and IT and F/A professional's use of the services of Local ContractJobs and its affiliates.
